Terms & Conditions

1. About Us and These Terms

Proxera Ltd ("Proxera", "we", "us", "our") is a company registered in England and Wales, Company No. 12583682. Our registered office is at 39th Floor, One Canada Square, Canary Wharf, London E14 5AB.

These Terms and Conditions ("Terms") govern your access to and use of the Proxera platform, website and all associated services (collectively, the "Service"). By creating an account or accessing the Service, you confirm that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service. These Terms apply to all users, including investors, estate agents, brokers, accountants and other professional partners.

2. The Service

Proxera is a property portfolio management and wealth intelligence platform. The Service includes, but is not limited to:

  • Up-to-date portfolio dashboards tracking income, expenses, yield, equity and capital growth
  • Making Tax Digital (MTD) for Income Tax Self Assessment MTD software enabling digital record-keeping and direct quarterly submissions to HMRC
  • Open Banking integration for automated income and expense tracking
  • AI-powered portfolio insights, alerts and recommendations
  • Secure document storage for tenancy agreements, certificates and financial documents
  • Access to a curated network of vetted property professionals
  • White-label investor portal functionality for estate agents and professional partners

We reserve the right to modify, suspend or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility and Registration

To use the Service you must be at least 18 years of age and have the legal capacity to enter into a binding contract. By registering you confirm that all information you provide is accurate, current and complete.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect any unauthorised use of your account.

4. Subscription Plans and Payment

Investor plans

Our investor subscription plans (Free and PROXERA+) are available on monthly or annual billing cycles. Current pricing is displayed at proxera.co.uk and may be updated from time to time with reasonable notice.

Agent and partner plans

Agency and partner pricing is bespoke and agreed individually based on team size, office structure and rollout requirements. Contact us at [email protected] or book a call to discuss your requirements.

Payment and renewal

Subscriptions are billed in advance and renew automatically at the end of each billing period unless cancelled. By providing payment details, you authorise us to charge the applicable subscription fee on each renewal date. All prices are in GBP and inclusive of any applicable VAT.

Cancellation and refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period; you will retain access until that date. No refunds are issued for partial billing periods, except where required by applicable consumer protection law. If you cancel within 14 days of your first subscription purchase (your statutory cooling-off period), you are entitled to a full refund unless you have already used the Service.

Annual subscriptions

Annual subscriptions are billed upfront for the full year. The 20% partner discount applies to PROXERA+ subscriptions referred through an agency partner code. rate. Annual subscriptions are non-refundable after the 14-day cooling-off period except where required by law.

5. Making Tax Digital Important Notice

Proxera is MTD software for Making Tax Digital for Income Tax Self Assessment. While our software automates the process of preparing and submitting quarterly updates and end-of-period statements to HMRC, the following important limitations apply:

  • You remain solely responsible for the accuracy and completeness of all financial information you input into the platform
  • Proxera is not an accountant, tax adviser or regulated financial adviser. Nothing in the Service constitutes tax advice
  • For advice on your specific tax position, compliance obligations or financial affairs, you should consult a qualified accountant or tax professional
  • HMRC penalties arising from inaccurate information provided by you remain your responsibility

6. Open Banking

Where you choose to connect bank accounts via our Open Banking integration, you authorise us and our Open Banking provider to access your transaction data for the purposes of automating your financial records. Open Banking connections are governed by FCA regulations and the terms of our Open Banking provider. You can revoke Open Banking access at any time through your account settings.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to process or store information relating to illegal activities
  • Attempt to gain unauthorised access to any part of the Service or to other users' accounts
  • Upload or transmit viruses, malware or any other malicious code
  • Circumvent, disable or interfere with security features of the Service
  • Use the Service to send unsolicited commercial communications
  • Reverse engineer, decompile or disassemble any part of the Service
  • Reproduce, redistribute or commercially exploit any part of the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these acceptable use provisions.

8. Intellectual Property

All content, design, code, algorithms, trademarks, logos and branding within the Service are owned by or licensed to Proxera Ltd. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Service in accordance with these Terms.

You retain ownership of all data and content you upload to the platform. By uploading content, you grant us a limited licence to store, process and display that content solely for the purpose of providing the Service to you.

9. Data Protection

We process personal data in accordance with our Trust & SecurityPrivacy Policy and applicable UK data protection law. By using the Service you acknowledge our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Proxera Ltd shall not be liable for any indirect, incidental, consequential, special or punitive damages arising from your use of or inability to use the Service
  • Our total aggregate liability for any claim arising under or in connection with these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim
  • We are not liable for losses arising from investment or financial decisions made using information or insights from the platform, all such decisions are made at your own risk

Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence or for fraud.

11. Availability and Service Levels

We aim to maintain high availability of the Service but cannot guarantee uninterrupted access. We may carry out maintenance, updates or emergency interventions that temporarily affect availability. We will endeavour to provide advance notice of planned maintenance where possible.

12. Termination

We may suspend or terminate your access to the Service with immediate effect if you materially breach these Terms, if required by law, or if we reasonably believe continued access poses a risk to the platform or other users. We will provide notice where possible. On termination, your right to access the Service ceases and we will handle your data in accordance with our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice by email or prominent notice within the platform. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms are subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer resident in Scotland or Northern Ireland, in which case you may also bring proceedings in local courts.
